Bertrand is a founding partner of Themis Lex

He is active in M&A practice, corporate, investment fund, financing transaction, with a focus on venture capital, private equity and real estate with over 16 years of practice. He has also developed a strong expertise relating to intellectual property and communication technologies.

Regarding IP/ICT his experience encompasses the drafting of the new rules relating to the French domain names on behalf of French regulation authority, participation in the legal advice on the French digital TV implementation, legal assistance of start-ups focused on innovation technologies. 
He has been a member of the Paris bar since 2000 and has been admitted by the Luxembourg bar to practice under his French professional title.

PROFILE

Pascale Sicurani is graduated in law from University of La Sorbonne and from HEC Paris (International Management and Law MS), Pascale has been a tax and legal adviser for over 16 years and is involved in international tax, corporate law, UCIs, venture capital and private equity transactions. Pascale is regularly requested to provide professional training sessions on specific tax matters.

Main areas of practice:

Private equity: tax advice and structuring for regulated / non regulated Luxembourg vehicles investing (directly or indirectly) into foreign business (hotels, mall centers, transportation infrastructures, green energy, health, education, etc, located in the USA, Europe, Africa and Asia), assistance to organize the Luxembourg tax optimal exit;

Real estate: tax advice and structuring for regulated / non regulated Luxembourg vehicles investing (directly or indirectly) into foreign real estate assets (final assets being located in the USA or in Europe);
Financial industry: tax advice and structuring for Luxembourg investment vehicles (such as SIFs, SICARs, securitization vehicles, master/feeder funds structures, etc), organization of the issuance of Islamic finance products by Luxembourg investment vehicles;

Operating international groups (pharmaceutical industry, fashion industry, food and beverage franchises, financial institutions etc): tax advice and setting-up of Luxembourg financing and / or holding structures in the scope of international restructurings / M&A, acquisitions of companies;

Intellectual property: tax advice and structuring for Luxembourg companies holding intellectual property assets;

FATCA/CRS: Analysis of Luxembourg entities’ FATCA / CRS status, assistance to fill out self-certification forms, review and amendments to template of self-certification forms to be used by Luxembourg financial institutions.
